Dennis O’Rourke
Dennis is a Partner at Moritt Hock & Hamroff LLP in its Corporate & Securities Practice Group and has over 20 years of experience in handling all facets of complex mergers, acquisitions, securities offerings, corporate transactions, and general counsel matters. Mr. O’ Rourke provides corporate advice to business owners, public and private companies, including the structuring and negotiating of sophisticated sales and purchases of businesses, as well as capital raising transactions and joint ventures. His experience includes work with both domestic and foreign-based clients in a wide range of industries, including technology, fintech, ad tech, logistics, e-commerce, card processing, medical devices, nutraceuticals, food and beverage, manufacturing, construction, real estate, biotechnology, alternative energy, telecommunications, pharmaceutical, financial services, professional services, insurance, gaming, and cannabis.
In mergers and acquisitions transactions, Mr. O’Rourke represents both buyers and sellers of businesses. He has successfully closed numerous deals with business owners selling their businesses to strategic buyers, private equity funds, and private equity backed strategic buyers both domestically and internationally. He also represents institutional and industry buyers of businesses. Mr. O’Rourke is an experienced negotiator and takes an innovative and creative approach to advising clients on their business objectives, and providing practical solutions. He successfully collaborates with client’s accountants and investment bankers to achieve the best results.
In connection with securities offerings and financing transactions, Mr. O’Rourke has extensive experience representing both issuers and founders on the one hand and investors and placement agents on the other hand and as a result understands deals from the perspective of each party, making him skilled and effective counsel for clients. He represents issuers and investors in a wide range of corporate transactions including securities offerings, seed capital offerings, venture capital financings and other forms of private equity investment. He has represented broker-dealer firms for over twenty years, including formation, FINRA and SEC regulatory issues, and as placement agent in private placement offerings under Regulation D, and as underwriters in underwritten offerings. Mr. O’Rourke has substantial experience with investment funds and private equity funds, and regularly advises hedge funds and venture capital funds on matters ranging from fund formation, organizational structuring, and regulatory compliance.
His approach is to serve as general counsel and trusted advisor to his clients, assisting them in numerous legal and business matters and situations, and believes that his clients benefit from his multi-practice-area experience. Mr. O’Rourke provides advice to clients on matters such as privacy issues, employment and equity incentive arrangements, and other general corporate matters.
